If you take out the invasion, raider, or mayor ships it'll lower the prosperity. you want the cities to be wealthy enough to build one.
It'll show up as a New Warship - Ship of the Line.
Took me about 1 hour camped outside St Kitts and it's neighbor to get mine.
I started in 1640 on Journeyman (or whatever is the 2nd difficulty) signed with the English, and I had one by 1641.
All I did was raid a few dutch and french ships, nothing special. I hardly had any gold from it at all. I had a 6,000 gold price on my head by the french, and none at all with the dutch.
I was around Montserrat, and saw a dutch fluyt headed towards St Martin/St. Eustatius, so I followed it, and just as I got to St. Martin, there appears a Ship of the Line.
Blasted away for a bit with my Royal Sloop to rob the SOTL of their cannon advantage, whittled away their crew for a bit, then boarded. Whamo, all mine.
It was weird, because the past times I've played, I haven't seen one no matter how many times I attacked a nation, or what era I set it on.
