    Steam version
Finally the game downloaded and decrypted, which took a while..
While doing so my antivirus played up telling maxpayne3.exe had a virus, so i had to exclude the folder,it is a false positive, but shouldnt happen with a commercial game.
Started the game.... and got this message...

Service Pack 1 or higher is required to run the game
    WTH lol.

MY specs: windows 7 ultimate 64 bits SP1.
Went to steam forums , which a lot peoples have same problem
    Solution for me was simple.
Go to "in my case" c:\Program Files (x86)\Steam\steamapps\common\max payne 3\Max Payne 3
    Rightclick MaxPayne3.exe > properties > compatibility >
checkmark "run this program in compatibility mode for" WINDOWS 7

    Start steam game launcher
    and... the game starts normally.
    Hurray

People with other WIndows versions should apply the compatibility mode for their respective OS versions

Next thing i tried was fraps.
    Started game... and boom crash
Started game a second time and it runned with fraps FPS showing

All and all weird stuff, with a brand new game like this.

    Anyways happy gaming guys.

Unfortunately alot of people including myself are having issues starting up the game in steam. I have tried redownloading and verifying the files multiple times. Every time I start the game in steam I see a black screen then some legal text from Rockstar then it crashes. Even when I run it directly from the game folder the same thing happens. On the steam forums there doesn't appear to be an official fix yet besides trying to move game folders and changing a registry file so the game doesn't run steam but that seems inconvenient for people who paid for this game and its not guaranteed to work.

Has anyone else heard of any news about this? I looked on the rockstar forums and there doesn't appear to be any useful information on there. Can only hope a update is gonna come in the next few days or something.

I had to go find the .exe file that steam is running and modify it to run as admin. Then I was able to load the game through steam. Quite a fail by steam/rockstar to release a game that doesn't load properly without needing such intervention by the user on (I assume yours is too) typical windows 7 PC's.

Seems someone made a sticky on steam forums for people that still cant run the game, called fixed launch issue.
Maybe it helps maybe it doesnt.
    Cant hurt trying.

    Link

And a link to rockstar itself for fixing issues

Some people didn't read the requirements for the game, and have been under them, and they wonder why it wouldn't actually start :P

As for others, I think its a bug in the software that Rockstar recognised too late and some digital and retail releases got out without the fix, hence why it was held back a few days.

As for the false positive remark from the OP, don't blame the game, blame the Anti-Virus software for being too stringent.
Oh and Don't forget some tuts on ASM and defeating DMA

Actually, this game is very good but there are a lot of bugs in multiplayer ... same story as usual. I think Rockstar always did a good job in single player but when we play their games online we always get bug at ver 1.00. And atm I always get stuck, crashes and freezes ... so annoying.
